KNEKT Membership Terms of Sale

INTRODUCTION

These Terms of Sale apply to all KNEKT memberships purchased from KNEKT Limited (company number 16642885), a company registered in England and Wales with its registered office at 81 Sidney Street, Sheffield, England, S1 4RG, trading as KNEKT (“we”, “us”, “our”). By submitting your application form, ticking the acceptance box, or otherwise confirming that you wish to join KNEKT, you agree to these Terms.

1. Business Customer Basis

KNEKT membership is offered to business customers only. By submitting the application form,, you confirm that you are acting for purposes related to your business, trade, craft, or profession, and not as a private consumer.

2. Membership Package

Your KNEKT membership includes access to the KNEKT membership offering in force at the time of joining, which currently includes:

  • regular KNEKT networking meetings;

  • KNEKT social events;

  • access to any member tools, platforms, or apps made available by us from time to time; and

  • such other membership features as we may reasonably include within the KNEKT package.

The membership fee is as selected on the application form.

3. Application and Acceptance

All memberships are subject to acceptance by us.

We may decline an application where:

  • the applicant does not meet KNEKT’s membership criteria;

  • the applicant is not a good fit for the network;

  • capacity is limited; or

  • we reasonably believe the membership would not be in the best interests of the network or its members.

A contract is formed once:

  • you submit the application form and tick the box confirming acceptance of these Terms; and

  • we confirm your membership place verbally, by email, or by invoice.

4. Term

Unless otherwise agreed in writing, membership begins on the start date confirmed by us and continues for an initial fixed term of 12 months (“Initial Term”).

At the end of the Initial Term, the membership will automatically renew for further fixed periods of 12 months each (each a “Renewal Term”) unless either party gives written notice to terminate in accordance with clause 11.

5. Fees

The membership fee is the fee selected on the application form:

  • Monthly payment option: £299 + VAT per month, payable for the full 12-month membership term; or

  • Annual payment option: £2,999 + VAT per year, payable in advance for the 12-month membership term.

All prices are stated exclusive of VAT unless expressly stated otherwise.

6. Invoicing and Payment

You agree that:

  • we may issue your first invoice after submission of your application form;

  • payment is due within 7 days of the invoice date unless otherwise stated on the invoice;

  • where the monthly payment option is selected, monthly payments remain due for the full 12-month membership term;

  • where membership renews for a further 12-month term, we may issue an invoice in advance of the renewal date; and

  • the member remains responsible for payment of the applicable fees for the renewed 12-month term unless valid notice of non-renewal has been given in accordance with clause 11.

Membership access may be withheld or suspended until payment is received.

7. Late or Failed Payment

If payment is late or fails:

  • we may suspend access to meetings, events, apps, and membership benefits until your account is brought up to date;

  • we may charge interest and reasonable recovery costs where permitted by law; and

  • if non-payment continues, we may terminate your membership and recover sums due.

8. Member Commitments

To maintain the quality and effectiveness of the network, you agree to:

  • attend and participate in the network in good faith;

  • behave professionally and respectfully toward members, guests, and our team;

  • provide accurate business and contact information;

  • use the network for legitimate business relationship-building purposes only; and

  • comply with any reasonable participation standards, meeting rules, or member frameworks we communicate.

16. Confidentiality

By joining, you confirm that, at the time of sign-up, you satisfy any eligibility criteria communicated by us for KNEKT membership, including where applicable criteria such as business ownership or leadership status, trading history, team size, and business network suitability.

Where offered as part of the membership package, any KNEKT guarantee is subject to the specific qualifying criteria communicated by us at the time of sale.

Where the published KNEKT guarantee applies, the member must provide reasonable evidence that all qualifying conditions have been fully satisfied, including any attendance, participation, contact upload, introduction request, or similar activity requirements notified by us.

Any review of eligibility under the guarantee will take place at the end of the relevant assessment period. Any refund due under the guarantee will be limited to the membership fees actually paid by the member for that qualifying period.

The guarantee shall not apply where:

  • inaccurate or misleading information has been given;

  • required attendance or participation standards were not met; or

  • payment obligations were not fulfilled.

Either party may prevent renewal of the membership by giving the other not less than 30 days’ written notice before the end of the Initial Term or the then-current Renewal Term.

If such notice is not received in time, the membership will renew for the next 12-month Renewal Term and the member will be liable for the fees for that Renewal Term.

For the avoidance of doubt:

  • the membership does not roll on month-to-month;

  • it renews only in successive 12-month terms; and

  • notice given during a current term will take effect only at the end of that current term, unless we agree otherwise in writing.

Notice of non-renewal must be given in writing by email to the membership contact email address notified by us from time to time and will be treated as received on the next working day after sending, provided no delivery failure message is received.

We may suspend or terminate membership immediately if:

  • fees are overdue;

  • you breach these Terms;

  • you act in a way that damages the reputation, operation, or integrity of KNEKT or My Business Group;

  • your conduct toward members, guests, venues, or our team is abusive, unlawful, discriminatory, or otherwise unacceptable; or

  • you misuse member information, confidential information, or network access.

Termination does not affect any fees already due.

We may reasonably change:

  • meeting dates, venues, formats, speakers, agendas, or hosts;

  • member platforms, apps, tools, or features; or

  • the content and structure of the KNEKT programme,

where necessary for operational, commercial, venue, staffing, or safety reasons.

Such changes do not entitle you to cancel or receive a refund, provided the overall membership remains substantially as described.

We may, as a courtesy, send a renewal reminder before the end of the current term. However, it is the member’s responsibility to ensure that any notice of non-renewal is served in time.

KNEKT is intended to support relationship-building, introductions, peer support, and business development opportunities. Except where expressly set out in the written KNEKT guarantee, we do not guarantee any specific number of referrals, meetings, introductions, sales, clients, revenue, or commercial outcomes.

You agree that, as part of your membership, we may share your business contact details, profile information, and other relevant membership information with other KNEKT members for network purposes.

We will process personal data in line with our privacy practices and applicable data protection law.

You agree not to misuse other members’ data and not to add members to marketing lists without their consent.

You agree to keep confidential any commercially sensitive or non-public information shared by other members or by us during meetings, introductions, or through member platforms, unless disclosure is required by law or the information is already public.

17. Intellectual Property

All content, materials, frameworks, training resources, branding, and systems provided by us remain our property or that of our licensors. Membership does not transfer ownership rights to you.

18. Limitation of Liability

Nothing in these Terms excludes or limits liability where it would be unlawful to do so.

Subject to that:

  • we are not liable for indirect or consequential loss, loss of profit, loss of business, loss of opportunity, or loss of goodwill;

  • our total liability arising out of or in connection with your membership shall not exceed the total membership fees paid by you to us in the 12 months preceding the claim; and

  • we are not responsible for acts, omissions, services, or advice of other members, guests, venues, or third parties.

19. Force Majeure

We are not liable for failure or delay caused by circumstances beyond our reasonable control, including venue failure, illness, transport disruption, utility outage, government restrictions, or other events outside our control.

20. Entire Agreement

These Terms, together with the application form and any written proposal or confirmation issued by us, form the entire agreement between the parties in relation to KNEKT membership.

21. Governing Law

These Terms are governed by the law of England and Wales, and the courts of England and Wales shall have exclusive jurisdiction.
